1. Scope & parties
These terms govern all sales of goods by Hospitality Line ApS, CVR 44898438 ("Seller"), to wholesale trade customers ("Buyer"). Acceptance of a sales order constitutes acceptance of these terms. Any conflicting terms in the Buyer's purchase documents are expressly rejected unless agreed in writing.
2. Orders & confirmation
An order is binding only when confirmed in writing by Seller. Stock availability and prices may change between order placement and order confirmation. Minimum order quantities are set per SKU and shown on each product page.
3. Prices & payment
Prices are quoted in EUR ex-VAT and exclude shipping and any local import duties. Standard payment term is pro-forma for the first order; Net 30 days from invoice date for approved accounts thereafter. Late payments accrue interest at the Danish reference rate + 8 % per annum.
4. Delivery & risk
Default delivery term is DAP (Incoterms 2020) to the Buyer's nominated address within the EU. Risk of loss passes to the Buyer upon delivery. Delivery dates are estimates; Seller is not liable for delays caused by carriers, customs or force majeure.
5. Inspection & claims
Buyer shall inspect goods on receipt and report any shortage, transport damage or non-conformity within 48 hours, with photos. Hidden defects must be reported within 14 days of delivery. Claims received after these periods are forfeited.
6. Returns
Unopened, resalable goods may be returned within 14 days of delivery for a credit note. Return shipping is at the Buyer's cost. Custom, pre-ordered or perishable goods are non-returnable.
7. Title retention
Title to all goods remains with Seller until full payment of the invoice (including any interest) has been received. Buyer is responsible for insuring goods from delivery.
8. Warranty & liability
Goods are sold with the manufacturer's standard warranty where applicable. Seller's total liability under any sales contract is limited to the invoice value of the goods concerned. Seller is not liable for indirect, consequential or loss-of-profit damages.
9. Intellectual property
Brand names, logos and product images are the property of their respective owners. Buyer may use product imagery solely for the resale of goods purchased from Seller.
10. Governing law & jurisdiction
These terms are governed by Danish law. Any dispute shall be settled by the City Court of Copenhagen as court of first instance. The UN Convention on Contracts for the International Sale of Goods (CISG) is excluded.
